Welcome to AudioKit. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using our audio conversion and editing tools.

If you do not agree to these Terms, please do not use AudioKit.

1. Service Description

AudioKit provides free, browser-based audio conversion and editing tools. Our services include:

  • Audio format conversion (MP3, WAV, FLAC, M4A, AAC, OGG, and more)
  • Video to audio extraction
  • Audio trimming and cutting
  • Audio file merging
  • Audio compression

All processing is performed client-side in your web browser using WebAssembly technology. Your files are never uploaded to our servers.

2. Acceptance of Terms

By accessing or using AudioKit, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to modify these Terms at any time. Continued use of AudioKit after changes constitutes acceptance of the modified Terms.

3. User Eligibility

You must be at least 13 years of age to use AudioKit. If you are under 18, you must have permission from a parent or legal guardian to use our services.

By using AudioKit, you represent and warrant that you meet these eligibility requirements.

4. Acceptable Use

4.1 Permitted Use

You may use AudioKit for lawful purposes only. You agree to use our services in compliance with all applicable laws and regulations.

4.2 Prohibited Activities

You agree NOT to:

  • Process or convert files containing illegal, harmful, or offensive content
  • Use AudioKit to infringe on intellectual property rights of others
  • Process files containing malware, viruses, or other malicious code
  • Attempt to reverse engineer, decompile, or disassemble our website or services
  • Use automated systems (bots, scrapers) to access AudioKit in a way that sends more requests than a human could reasonably produce
  • Interfere with or disrupt the operation of AudioKit or its hosting infrastructure
  • Bypass any measures we implement to prevent or restrict access to our services
  • Use AudioKit for any commercial purpose without our prior written consent

4.3 Copyright and Intellectual Property

You are solely responsible for ensuring that you have the legal right to process any files you use with AudioKit. You must own the files or have explicit permission from the copyright holder.

AudioKit is not responsible for any copyright infringement or intellectual property violations arising from your use of our services.

5. Intellectual Property

5.1 Your Files

You retain all rights, title, and interest in and to any files you process using AudioKit. We do not claim any ownership rights to your files.

5.2 AudioKit Content

All content on the AudioKit website, including but not limited to text, graphics, logos, icons, images, and software, is the property of AudioKit or its licensors and is protected by copyright, trademark, and other intellectual property laws.

AudioKit's source code is proprietary. You may not copy, modify, distribute, or create derivative works based on our website or services without our express written permission.

5.3 Open Source Components

AudioKit uses open-source software components, including:

  • FFmpeg.wasm - Licensed under LGPL/GPL (see FFmpeg.wasm license)
  • Vue.js, Nuxt.js - Licensed under MIT License

These components remain subject to their respective open-source licenses.

6. Disclaimers

6.1 "As-Is" Service

AUDIOKIT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We make no warranties or representations about:

  • The accuracy, reliability, or completeness of our services
  • The quality of audio conversions or edits
  • The availability or uptime of AudioKit
  • The compatibility with all devices, browsers, or file formats
  • The absence of errors, bugs, or interruptions

6.2 No Guarantee of Results

While we strive to provide high-quality audio processing, we do not guarantee that:

  • Conversions will be perfect or meet your specific requirements
  • Audio quality will be preserved in all cases
  • All file formats will be supported
  • The service will work on all devices or browsers

6.3 Technical Limitations

AudioKit runs entirely in your web browser. Performance may vary based on:

  • Your device's processing power and available memory
  • Your browser's capabilities and version
  • File size and complexity
  • Internet connection speed (for loading the application only)

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIOKIT AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

This includes, but is not limited to:

  • Loss of data or files
  • Loss of profits or revenue
  • Loss of use or opportunity
  • Corrupted or damaged files
  • Errors in conversions or processing
  • Service interruptions or downtime

Our total liability for any claims arising from your use of AudioKit shall not exceed $100 USD or the amount you paid to use AudioKit (which is $0 for free users), whichever is greater.

Important: Always keep backup copies of your original files before processing them with any software, including AudioKit.

8. Indemnification

You agree to indemnify, defend, and hold harmless AudioKit, its operators, affiliates, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of AudioKit
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • Any content you process through AudioKit

9. Service Availability

9.1 Uptime

We strive to keep AudioKit available 24/7, but we do not guarantee uninterrupted access. We reserve the right to:

  • Suspend or discontinue the service at any time
  • Perform maintenance or updates without prior notice
  • Modify features or functionality

9.2 Free Service

AudioKit is provided free of charge with no usage limits. All features are free forever. We may display non-intrusive advertisements to support the service, with advance notice.

10. Privacy

Your use of AudioKit is also governed by our Privacy Policy. Please review it to understand how we handle your data (spoiler: we don't collect your files).

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • Material changes will be communicated via a prominent notice on our website
  • Continued use of AudioKit after changes constitutes acceptance

We encourage you to review these Terms periodically.

12. Termination

We reserve the right to terminate or suspend your access to AudioKit immediately, without prior notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Abusive or excessive use of our services
  • Fraudulent, illegal, or harmful activity

You may discontinue use of AudioKit at any time.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of AudioKit shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
